The App is offered only in the United States to adults 18 and older. Washington and Nevada residents should also read our Consumer Health Data Privacy Policy. The Miri online store (“Store”) is covered by its own privacy policy. We do not sell personal information, do not use it for targeted advertising, and do not share it for cross-context behavioral advertising. StickyHealth is not a healthcare provider, and the App is not offered on behalf of one, so HIPAA generally does not apply to information you give the App. We protect it as described in this Policy and as required by state health privacy laws. ## 1. Information We Collect - You provide: name, email, date of birth, sex, and account credentials; medication information such as medication name, dose, schedule, and injection logs; weight, height, side effects, symptoms, food, hydration, activity, and goals; hormone therapy information, once those features are offered; food photos and voice notes you choose to submit; and support communications. - From Apple Health, with your permission: the data types you allow, such as steps, activity, heart rate, sleep, and weight, including data from wearables or other apps you have chosen to sync with Apple Health. - Automatically: device type, operating system, app version, IP address, crash and diagnostic data, and in-app usage, collected through our analytics and crash-reporting providers. We do not collect precise geolocation or your device’s advertising identifier. - From Apple: your subscription status. We do not receive your payment card information. - Inferences: information we derive from the above, such as adherence trends and insights. ## 2. How We Use Information We use personal information to: provide and personalize the App, including reminders and insights; communicate with you about your account, reminders, and updates; provide support; secure the App and prevent fraud and misuse; diagnose and improve App performance; create de-identified data, including for research; and comply with law and enforce our Terms. We do not use your health information to choose which products the App displays. We use health information beyond what is necessary to provide the App only with your consent. ## 3. How We Share Information We share personal information only with: - Service providers that host data, provide analytics, crash reporting, transcription, image processing, and support, under contracts that limit their use to serving us and prohibit using your data to train their own models; - Others at your direction or with your consent; - Legal and safety recipients, when required by law or legal process or necessary to protect the rights, property, or safety of you, us, or others; and - A successor in a merger, acquisition, financing, or sale of assets, subject to this Policy. When you tap a product link, the App opens the Store without passing your account or health information. Data obtained from Apple Health is never used for advertising or marketing, sold, or shared with advertisers or data brokers. ## 4. De-identified Data and Research We may de-identify information under recognized standards and use or share de-identified and aggregate data for research, product development, and publication. We will not attempt to re-identify it and contractually prohibit recipients from doing so. To opt out of research use of your de-identified data, email support@StickyHealth.com. ## 5. Retention and Security We retain personal information while your account is active and as needed to provide the App, comply with law, resolve disputes, and enforce agreements. When you delete your account, we delete or de-identify your personal information within [30] days, except where the law requires us to keep it. We use administrative, technical, and physical safeguards, including encryption in transit and at rest, but no system is completely secure. ## 6. Your Rights and Choices You may access, correct, download, or delete your information, and withdraw consent, through the App or by emailing support@StickyHealth.com. You may delete your account in the App at any time, and you can change Apple Health permissions in your device’s Health settings. Depending on your state of residence, you may also have rights to know, access, correct, delete, port, and opt out of certain processing, and to limit use of sensitive information. We will verify your request, respond within the time required by law, and not discriminate against you for exercising your rights. An authorized agent may submit a request with proof of authority. If we deny your request, you may appeal by replying to our decision; if your appeal is denied, you may contact your state attorney general. ## 7. Children The App is not directed to anyone under 18, and we do not knowingly collect their information. If we learn we have, we will delete it. ## 8. Our Privacy Policy and Consumer Health Data Privacy Policy describe our data practices; they are not part of these Terms. BY USING THE APP, YOU AGREE TO THESE TERMS. SECTION 14 REQUIRES INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS, UNLESS YOU OPT OUT WITHIN 30 DAYS. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY UNTIL CANCELED (SECTION 5). We may modify these Terms. We will post the revised Terms with a new “Last Updated” date and, for material changes, notify you in the App or by email at least 30 days before they take effect. Continued use after the effective date is acceptance. If you do not agree, stop using the App and cancel your subscription. ## 1. The App 1.1 What We Provide. Miri is a wellness companion that helps adults track and stay consistent with their medication routines, starting with GLP-1 medications. It offers logging, reminders, education, and insights. We may add features, such as support for hormone therapy, and these Terms will apply to them. 1.2 Not Medical Care. StickyHealth is not a healthcare provider. We do not prescribe, dispense, or adjust medication, and the App does not diagnose, treat, or prevent any disease or condition. No physician-patient or other provider relationship is created. Do not start, stop, or change any medication or dose based on the App; consult your prescriber. 1.3 No Monitoring; Emergencies. We do not monitor your entries in real time, and no clinician reviews them. If you report certain symptoms, the App may prompt you to contact your prescriber or emergency services, but it may not recognize every situation that needs care. IF YOU MAY BE HAVING A MEDICAL EMERGENCY, CALL 911. 1.4 Automated Content. Insights, reminders, and educational content in the App are generated by automated, rule-based tools from general health references and the information you provide. They may be inaccurate or incomplete and are not individualized medical advice. 1.5 Changes. We may modify, suspend, or discontinue any part of the App, and you may need to update the App to keep using it. ## 2. Eligibility and Accounts You must be at least 18 years old and located in the United States to use the App. You agree to provide accurate, current information and keep it updated. You are responsible for all activity under your account; do not share your credentials, and notify us promptly at support@StickyHealth.com of any unauthorized use. We may suspend or terminate accounts with false or incomplete information. ## 3. Apple Health and Connected Devices With your permission, the App reads data from Apple Health, including data from wearables or other apps you have chosen to sync with Apple Health. You control which data types the App can read in your device’s Health settings, and revoking permission stops future reads. We are not responsible for the accuracy of data from Apple Health, devices, or third-party apps. ## 4. Privacy and Health Data Our Privacy Policy and Consumer Health Data Privacy Policy, which are separate from and not incorporated into these Terms and may be updated independently, describe how we collect, use, and share your information. We do not sell your health data or use it for advertising. We will obtain your opt-in consent before collecting or sharing consumer health data beyond what is necessary to provide the App. We may create de-identified and aggregate data from your use of the App and use it for any lawful purpose, including research, and will not attempt to re-identify it. ## 5. Subscription 5.1 Billing. Access to the App requires a monthly subscription purchased through the Apple App Store at the price shown at purchase. Apple bills the payment method on your Apple account under Apple’s terms. We do not collect or store payment card information. 5.2 Auto-Renewal. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY EACH MONTH AT THE THEN-CURRENT PRICE UNTIL YOU CANCEL. To avoid being charged for the next month, cancel at least 24 hours before your renewal date. 5.3 Cancellation and Refunds. Cancel through your device (Settings > [your name] > Subscriptions); we cannot cancel for you. Cancellation takes effect at the end of the current billing period, and you keep access until then. Refunds are governed by Apple’s policies. Deleting the App or your account does not cancel your subscription. 5.4 Price Changes. We may change the price with advance notice as required by Apple and applicable law. Changes take effect at your next renewal. 5.5 California Residents. If you are a California resident, you may cancel within three business days after purchase (excluding Sundays and holidays) without penalty by sending a signed, dated cancellation notice to the address in Section 17, or as otherwise required by California law. ## 6. Products and the Miri Store The App may display non-prescription products available for purchase. Products are not recommended to you, are not selected based on your health information, and their display is not advice that they are appropriate for you. Selecting a product opens the Miri online store (“Store”), which we operate under separate terms of sale and a separate privacy policy. Purchases are made on the Store, not in the App or through Apple. Talk to your prescriber before using any supplement, especially while taking medication. Statements about dietary supplements have not been evaluated by the Food and Drug Administration, and supplements are not intended to diagnose, treat, cure, or prevent any disease. ## 7. Your Content and Feedback 7.1 Your Content. You retain ownership of the logs, photos, voice notes, and other content you submit (“Your Content”). You grant us a worldwide, royalty-free, non-exclusive license to host, store, process, reproduce, modify, and display Your Content as needed to provide, secure, and improve the App, consistent with our Privacy Policy. We will not use Your Content publicly (for example, as a testimonial) without your separate consent. 7.2 Your Representations. You represent that you have the rights needed to submit Your Content and that it does not violate law or third-party rights. 7.3 Feedback. If you give us suggestions or feedback, we may use them without restriction or compensation, and you assign to us all rights in them. ## 8. Restrictions You will not: (a) use the App unlawfully, fraudulently, or for any commercial purpose; (b) submit content that is threatening, harassing, defamatory, obscene, or infringing; (c) introduce malware or interfere with the App; (d) reverse engineer, decompile, copy, modify, or create derivative works of the App, except where this restriction is prohibited by law; (e) scrape, data mine, or harvest data from the App; (f) circumvent access or security controls; (g) remove proprietary notices; (h) use the App or its content to develop or train machine-learning models; or (i) use the App to build a competing product. ## 9. Intellectual Property and License We and our licensors own the App and all related intellectual property. Subject to these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App on an Apple device you own or control for your personal use. “Miri,” “StickyHealth,” and related logos are our trademarks and may not be used without our written permission. ## 10. Third-Party Services The App connects with third-party services, such as Apple Health, and links to the Store. We do not control third-party services and are not responsible for them, and your use of them is subject to their terms. The App relies on third-party hosting and service providers, who make no warranties to you. ## 11. Disclaimers TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT REMINDERS OR ALERTS WILL BE DELIVERED, OR THAT ANY RESULTS (INCLUDING WEIGHT, ADHERENCE, OR HEALTH OUTCOMES) WILL BE ACHIEVED. ## 12. Indemnification You will defend, indemnify, and hold harmless StickyHealth and its directors, officers, employees, and agents from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, Your Content, or your violation of law or third-party rights. ## 13. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100. THESE LIMITS APPLY TO ALL THEORIES OF LIABILITY AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU. To the extent permitted by law, any claim must be brought within two years after it arises. ## 14. Dispute Resolution 14.1 Informal Resolution. Before filing any claim, you must email a notice of dispute to support@StickyHealth.com with your name, account email, a description of the dispute, and the relief sought. We will send any notice to the email on your account. The parties will try in good faith to resolve the dispute for 60 days, during which limitation periods are tolled. 14.2 Arbitration. Except for individual claims in small claims court and claims for injunctive relief concerning intellectual property, data security, or unauthorized access, all disputes arising out of or relating to these Terms or the App will be resolved by final, binding individual arbitration administered by National Arbitration and Mediation (“NAM”) under its rules then in effect, including its mass-filing procedures. The Federal Arbitration Act governs this Section. Hearings will be held by video or in your county of residence. Fees are allocated under NAM’s rules. A court decides questions about the scope or enforceability of this Section. 14.3 Class Action and Jury Waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, consolidated, or representative proceeding. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. If this Section 14.3 is found unenforceable as to a claim, that claim proceeds in court, not arbitration. 14.4 Opt-Out. You may opt out of arbitration by emailing support@StickyHealth.com within 30 days after first accepting these Terms, with your name, account email, and a clear statement that you opt out. 14.5 Governing Law and Venue. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to their jurisdiction. Nothing in these Terms waives non-waivable statutory rights. ## 15. Termination We may suspend or terminate your access at any time, including for breach of these Terms. You may stop using the App and delete your account at any time in the App. Sections 4 and 7 through 17 survive termination. ## 16. Apple App Store Terms These Terms are between you and StickyHealth, not Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App, its maintenance and support, and any product liability, legal compliance, consumer protection, or intellectual property claims relating to it. If the App fails to conform to an applicable warranty, you may notify Apple for a refund of any purchase price, and Apple has no other warranty obligation. You represent that you are not located in a U.S.-embargoed country or listed on any U.S. government restricted-party list. You must comply with applicable third-party terms (such as your wireless carrier’s) when using the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. ## 17. General Copyright Complaints. Send notices under the Digital Millennium Copyright Act to our designated agent at support@StickyHealth.com. We terminate repeat infringers. Electronic Communications. You consent to receive notices electronically, and notice to your account email is effective. Assignment. You may not assign these Terms; we may assign them without consent, including in a merger or sale of assets. Force Majeure. We are not liable for delays or failures beyond our reasonable control. Severability; Waiver. Except as stated in Section 14.3, an unenforceable provision will be enforced to the maximum extent permitted and the rest remains in effect; failure to enforce is not a waiver. Entire Agreement. These Terms are the entire agreement regarding the App. California Users.
